Terms of Service

1. Agreement to Terms

By accessing or using the QC Pics and Filing Assistant applications ("the Apps"), provided under the JASSCO brand by Turbsol Management, LLC ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Apps.

2. Description of Service

The QC Pics and Filing Assistant are software-as-a-service (SaaS) platforms designed for aviation maintenance organizations to streamline documentation and quality control processes, including:

• Quality photo capture and organization for inbound and outbound inspections
• Barcode scanning for record identification
• PDF batch processing and documentation
• Integration with aviation ERP systems (AvSight, Quantum, Pentagon, Quick Aviation, and more)
• Cloud storage integration (OneDrive, SharePoint, and more)
• File organization and management for aviation documentation

3. User Accounts

3.1 Account Registration

You must create an account to use the Apps. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use the Apps for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Attempt to gain unauthorized access to the Apps or related systems
• Interfere with or disrupt the Apps or servers
• Upload malicious code or viruses
• Reverse engineer or attempt to extract the source code
• Share your account credentials with unauthorized users
• Use the Apps to store or transmit inappropriate or illegal content

5. Subscription and Payment

5.1 Pricing

The Apps are offered on a per-user license subscription basis:

• Individual License: $199 per user/month
• Team Package (10+ users): $159 per user/month
• Enterprise: Custom pricing

5.2 Payment Terms

Subscriptions are billed monthly in advance. You authorize us to charge your payment method for all fees. Prices are subject to change with 30 days notice.

5.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused services.

6. Intellectual Property

6.1 Our Property

The Apps and all related technology, including software, designs, and trademarks, are the property of Turbsol Management, LLC. You are granted a limited, non-exclusive, non-transferable license to use the Apps in accordance with these Terms.

6.2 Your Content

You and your organization retain all rights, title, and interest in and to all data, photos, documents, inspection records, and any other content you upload, create, or store using the Apps ("Customer Data"). JASSCO does not claim ownership of Customer Data under any circumstances.

By using the Apps, you grant JASSCO a limited, non-exclusive, revocable license to host, store, process, and display Customer Data solely to provide and improve the Services. This license terminates when you delete your content or close your account.

JASSCO will not:

• Use Customer Data for advertising, marketing, or promotional purposes
• Sell, rent, or trade Customer Data to third parties
• Use Customer Data to train machine learning or AI models
• Access Customer Data except as necessary to provide support or maintain the Services
• Claim any intellectual property rights over Customer Data

7. Third-Party Integrations

The Apps integrate with third-party services (ERP systems, cloud storage providers). We are not responsible for the availability, functionality, or policies of these third-party services. Your use of third-party services is subject to their respective terms and conditions.

8. Disclaimers and Limitations of Liability

8.1 Service Availability

The Apps are provided "as is" without warranties of any kind. We do not guarantee that the Apps will be uninterrupted, error-free, or secure.

8.2 Limitation of Liability

To the maximum extent permitted by law, Turbsol Management, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

9. Indemnification

You agree to indemnify and hold harmless Turbsol Management, LLC and its affiliates from any claims, damages, or expenses arising from your use of the Apps or violation of these Terms.

10. Data Backup and Loss

While we implement backup procedures, you are responsible for maintaining your own backups of critical data. We are not liable for any data loss.

11. Service Discontinuation and Data Portability

11.1 Your Right to Export

You may export your Customer Data at any time during your active subscription. We provide data export tools and will assist with reasonable export requests.

11.2 Service Wind-Down

If JASSCO discontinues the Apps, we will:

• Provide at least 90 days advance written notice to all active customers
• Maintain read-only access to Customer Data during the wind-down period
• Provide data export tools and reasonable assistance to extract all Customer Data
• Not delete Customer Data until the customer has confirmed export or the wind-down period has expired

11.3 Business Continuity

In the event of a merger, acquisition, bankruptcy, or dissolution of Turbsol Management, LLC:

• Customer Data remains the property of the customer and is not an asset of Turbsol Management, LLC
• Any successor entity must honor existing data protection obligations
• Customers will be notified and given the opportunity to export their data before any transition

11.4 No Data Hostage

Under no circumstances will JASSCO withhold access to Customer Data as leverage in any commercial dispute. Customers may always retrieve their data regardless of account standing or payment status.

12. Corporate Structure and Liability Separation

12.1 Corporate Structure

JASSCO is a brand owned and operated by Turbsol Management, LLC. Turbsol Management, LLC is the legal entity responsible for the development, operation, and maintenance of the Apps. References to "JASSCO" in these Terms refer to Turbsol Management, LLC. JASSCO is not affiliated with, owned by, or a subsidiary of any customer organization. Customer relationships and integrations do not create any agency, partnership, or joint venture relationship.

12.2 Customer Content Independence

Customer Data stored in the Apps is logically and operationally separate from JASSCO's own operational data. Customer Data is not commingled with JASSCO's proprietary data and is not treated as an asset of Turbsol Management, LLC in any financial, legal, or corporate proceeding.

12.3 Mutual Protection

• JASSCO's intellectual property (software, designs, trademarks) remains the property of JASSCO, LLC regardless of customer relationships
• Customer intellectual property (trade secrets, proprietary processes, inspection methodologies) uploaded to the Apps remains the exclusive property of the customer
• Neither party acquires rights to the other party's intellectual property through use of the Apps

13. Termination

We may suspend or terminate your access to the Apps at any time for violations of these Terms or for any other reason. Upon termination, your right to use the Apps ceases immediately.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Florida, United States.

15. Export Compliance

You shall comply with all applicable export control laws and regulations, including International Traffic in Arms Regulations (ITAR), Export Administration Regulations (EAR), and Office of Foreign Assets Control (OFAC) sanctions programs.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Apps after changes constitute acceptance of the new Terms.

These Terms constitute the entire agreement between you and Turbsol Management, LLC regarding the use of the Apps and supersede all prior agreements and understandings.
